How We Use Your Data

Your business information is used to: Process wholesale orders and invoices, provide customer support, send order updates and product information, comply with applicable tax and trade regulations in your jurisdiction.

Data Protection & Security

We protect your data through: AES-256 encrypted database storage, restricted internal access (only authorized personnel), quarterly security audits, PIPEDA compliance (Canada's Personal Information Protection and Electronic Documents Act), and Bill C-27 (CPPA) readiness for enhanced consumer privacy protection framework.

Data Breach Notification: In compliance with PIPEDA and proposed CPPA requirements, we will notify affected businesses within 72 hours of discovering any data breach that poses a real risk of significant harm.

Your Rights (Enhanced Under Bill C-27)

You have the right to: Access your business data on file, request data corrections or deletion, data portability (transfer data to another service), opt-out of marketing communications, and withdraw consent for data processing at any time. We will respond to all requests within 30 days.

Automated Decision-Making: Under Bill C-27, you have the right to request human review of any automated decisions that significantly affect your business relationship with us.

📋 B2B Terms of Service

1. Wholesale Order Terms

Minimum Order Quantity (MOQ): Blank/unbranded products: MOQ 20 units minimum. Factory customization (logo, branding, packaging) requires 1000+ units minimum. Custom/OEM orders: 1000+ units depending on complexity.

Order Processing: Orders require written confirmation. Standard lead time is 3-6 weeks from order confirmation. Rush orders may be available (contact for quote).

2. Payment Terms

Payment Methods: Bank transfer (Wire/EFT), Business credit card (for established clients), Net-30 terms available for approved accounts.

Deposits: 50% deposit required for first-time orders. 30% deposit for OEM/custom orders.

3. Order Modifications & Cancellations

Orders can be modified within 48 hours of confirmation. Cancellations after production starts incur a 30% restocking fee. Custom/OEM orders are non-cancellable after production begins.

4. Dispute Resolution

All disputes are governed by Ontario, Canada commercial law. Mediation is required before litigation. International arbitration available through recognized arbitration centers.

1. Private Label Services

WarmHub provides white-label manufacturing services where you sell products under YOUR brand name. We remain your invisible supply partner. You maintain full brand control and customer relationships.

2. Logo & Branding Customization

Included Services: Custom logo placement (embroidery, heat transfer, woven label), custom packaging with your branding, custom care labels and tags.

Requirements: Provide vector logo files (AI, EPS, PDF). Approve digital mockups before production. MOQ for custom branding: 100 units minimum.

3. Brand Responsibility & Legal Compliance

Your Responsibilities: You own all trademark/brand rights. You handle end-customer service and warranties. You ensure your brand complies with Canadian advertising standards.

Our Responsibilities: We maintain product quality standards. We provide technical support and product documentation. We protect your brand confidentiality (no public disclosure).

4. Exclusivity & Non-Compete

Non-exclusive agreement (unless otherwise negotiated). We will not sell identical products with your branding to competitors. Exclusivity available for large-volume contracts (contact for terms).

🛡️ Quality & Warranty Terms

1. Product Quality Standards

All products meet: CSA certification (electrical safety), ISO 9001 quality management, REACH compliance (chemical safety), Canadian textile labeling requirements.

2. Manufacturer Warranty (B2B Wholesale)

Coverage: 12-month manufacturer defect warranty from shipment date. Covers heating element failure, electrical component defects, and manufacturing defects.

Exclusions: Normal wear and tear, misuse or improper care, unauthorized modifications, damage from washing/drying.

3. Defect Rate & Quality Guarantee

Acceptable Defect Rate: <2% per batch (industry standard). If defect rate exceeds 5%, we provide replacement units or credit.

4. Claim Procedures

For Warranty Claims: Report defects within 30 days of discovery. Provide photos and order documentation. We evaluate and approve replacements within 10 business days.

Replacement Process: Approved claims receive replacement units in next shipment. Defective units do not need to be returned (cost-saving measure).

1. WarmHub Brand & Trademarks

Our IP: "WarmHub" name and logo are trademarks of CCBONLINE Inc. Product designs and technical specifications remain our property.

Prohibited Use: You may not use "WarmHub" branding on resale products. You may not claim to be the manufacturer. Reference "Powered by WarmHub" allowed only with written permission.

2. Your Brand IP (White Label)

Your Ownership: You retain 100% rights to your brand name, logo, and trademarks. We do not claim any rights to your brand identity.

Our Use: We use your brand only for production and fulfillment. We will not publicly disclose our partnership (confidential supplier). Your brand will not appear in our marketing or website.

3. Product Design & Modifications

Standard Products: Design IP remains with WarmHub. You may not reverse-engineer or copy our designs for other manufacturers.

Custom OEM Products: Custom designs developed for your order become jointly owned. Exclusive design rights available through separate licensing agreement.

4. IP Infringement Protection

You warrant that your brand does not infringe third-party trademarks. You indemnify WarmHub against IP claims related to your brand. We will assist with cease-and-desist actions for counterfeit products.

📦 Shipping & Delivery Terms (CARM Compliant)

1. Standard Delivery Timeline

Lead Time: 3-6 weeks from order confirmation (production + transit). Custom/OEM orders: 6-8 weeks (includes sample approval). Rush orders available with 50% expedite fee.

2. Shipping Terms (Incoterms)

Standard Terms: FOB China Port - We deliver to shipping port in China. You arrange ocean/air freight and customs clearance. You pay international shipping and duties.

Optional: DDP (Delivered Duty Paid) to Canadian Warehouse - We handle shipping + customs clearance. Delivered to your Canadian address. Freight cost added to invoice.

3. Customs & Import Duties (CARM Fully Implemented)

Canadian Import: Heated apparel: 0% duty (CUSMA/USMCA eligible via Canadian import). GST/HST applies (5-15% depending on province). We provide commercial invoices and packing lists.

CARM Requirements (Mandatory since October 21, 2024): All importers MUST have a CARM Client Portal (CCP) account. Financial security deposits are required for commercial importers. We provide electronic B3 customs documentation and assist with HS code classification (HS 6211.43 - heated garments of man-made fibres).

Undervaluation Penalties: Under strengthened CBSA enforcement (2025), undervalued imports face penalties up to CAD $25,000 and potential criminal prosecution. WarmHub guarantees accurate commercial invoicing to ensure full compliance.

4. Freight Insurance & Risk

FOB Terms: Risk transfers to buyer once loaded on vessel. We recommend marine cargo insurance (arrange with your freight forwarder).

DDP Terms: WarmHub maintains insurance until delivery to your warehouse. Claims handled through our freight partner.

5. Delivery Delays & Force Majeure

Delays caused by customs inspections, port congestion, or natural disasters are beyond our control. We provide shipment tracking and proactive updates. No penalties for delays outside our control (force majeure clause).

⚖️ Bill S-211 - Fighting Against Forced Labour and Child Labour in Supply Chains Act

Status: ✅ Effective May 31, 2024 (Fully Compliant)

WarmHub Compliance Measures:

  • Supplier Audits: All manufacturing partners undergo annual third-party audits for labour compliance

  • Electronic B3 declarations: All customs entries must be submitted electronically through CCP
  • Real-time account management: View duty/tax balances, payment history, and compliance status online
  • Strengthened enforcement: Enhanced CBSA audits and penalties for non-compliance

WarmHub Support: We provide CARM-compliant electronic documentation, assist with CCP registration, and ensure accurate HS code classification to minimize audit risks.

💰 Digital Services Tax (DST)

Status: ✅ In Effect June 28, 2024 (Monitored)

Impact on WarmHub: DST applies to large digital platforms with annual revenue exceeding CAD $20 million from digital services and CAD $1.125 billion globally. As a B2B wholesale supplier focused on physical products, WarmHub does not meet DST thresholds and is not subject to DST.

Note for E-commerce Clients: If you resell WarmHub products through large digital marketplaces (e.g., Amazon.ca), you may be indirectly affected by DST passed through platform fees. Please consult your tax advisor.

🛡️ Bill C-63 - Online Harms Act

Status: Tabled in Parliament (pending approval, expected 2025-2026)

Scope: Bill C-63 aims to regulate online platforms regarding harmful content (child sexual abuse material, terrorism, hate speech, cyberbullying, non-consensual intimate images).

Impact on WarmHub: As a B2B wholesale website with no user-generated content or social media features, WarmHub is not subject to Online Harms Act obligations. Our website provides product information and business contact only.
